Terms of Service
1. Agreement
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “You,” or “Your”) and Rikton LLC (“Rikton”), together with its subsidiaries, brands, and affiliates (collectively, “the Company,” “We,” “Us,” or “Our”).
By accessing, browsing, or using the website located at www.manhattan.properties (the “Site”) or any associated tools, data, market intelligence, consultation features, or lead collection services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Site and Service.
2. The Site and Ownership Disclosure
The Site is a digital property wholly owned and operated by Rikton. “Manhattan Properties” is a trade name and brand under Rikton’s ownership. All software, source code, data modeling, algorithms, market analytics, editorial materials, and user interface designs are the exclusive intellectual property of Rikton.
3. Nature of Services; Regulatory Disclosures
No Real Estate Brokerage: Manhattan.properties and Rikton are independent market intelligence, advertising, and investor advisory platforms. We are not a licensed real estate broker, brokerage firm, or property management entity, nor do we act as a seller/buyer agent, landlord/tenant representative, or property appraisal entity.
No Fiduciary Duty: Your use of the Site or receipt of market briefings, consultation materials, or advisory analytics does not create an agency, fiduciary, broker-client, or joint venture relationship between you and the Company. All insights provided are non-binding and non-fiduciary.
Independent Third-Party Professionals: Licensed real estate brokerage activities, property listings, negotiations, legal advice, and tax counsel are provided exclusively by independent, third-party professionals (including New York State licensed real estate brokers, land-use attorneys, and CPAs). These professionals operate under their own independent licenses, terms of engagement, and legal duties. We do not control, supervise, or accept liability for their acts, omissions, or professional opinions.
Compensation & Referral Disclosure: You acknowledge and agree that the Company may receive advertising fees, referral fees, sponsorship compensation, or marketing retainers from third-party professionals, broker partners, or service providers for introductions made through the Site.
4. Educational Content & Market Information
Content available on the Site—including property samples, Local Law 97 summaries, retail corridor reports, yield metrics, zoning insights, and financial estimations—is provided solely for general informational and educational purposes.
No Formal Advice: Nothing on the Site constitutes a formal real estate appraisal, legal opinion, tax recommendation, or formal offer to sell, buy, or lease real property.
Data Verification Notice: Information regarding asking prices, taxes, common charges, usable/rentable square footage, floor plans, and municipal compliance is obtained from sources believed reliable, but is not guaranteed. All metrics are subject to errors, omissions, price changes, or withdrawal without notice. You must independently verify all information (including Certificates of Occupancy, landmark statuses, and board requirements) with your own legal, accounting, and real estate professionals.
5. Equal Housing Opportunity Disclosures
The Company fully supports and adheres to the principles of the Fair Housing Act, New York State Human Rights Law, and the New York City Human Rights Law. Real estate advertising and information provided on the Site are offered on an equal opportunity basis. We do not discriminate on the basis of race, color, religion, national origin, sex, disability, familial status, sexual orientation, gender identity, marital status, military status, age, lawful source of income, or any other class protected under federal, state, or municipal law.
6. User Inquiries, Communications & TCPA Consent
By submitting an inquiry, registration, or contact form on the Site, you represent and warrant that all information provided is true, accurate, and belongs to you.
Express Telecommunications Consent: By providing your phone number and email address, you expressly consent to receive communications—including transactional emails, newsletters, marketing calls, text messages (SMS/MMS), and autodialed or prerecorded messages—from the Company and our vetted network of third-party licensed brokers and professional partners regarding real estate interests.
Do-Not-Call Registry: You consent to these communications even if your telephone number is listed on a national, state, or corporate Do-Not-Call (DNC) registry.
Opt-Out: Consent is not a condition of purchasing any service. You may opt out of SMS communications at any time by replying “STOP” or unsubscribe from marketing emails via the link provided in the communication.
7. Intellectual Property & Prohibited Scraping
All Site content, including logos, graphics, text, custom software, database structures, and analytics, is owned by or licensed to Rikton and protected under federal and international copyright, trademark, and trade secret laws.
Permitted Use: You are granted a limited, non-exclusive, non-transferable license to access the Site for personal, non-commercial reference.
Prohibited Conduct: You shall not reverse engineer, decompile, scrape, data-mine, crawl, harvest, republish, mirror, or commercially exploit any material, data, or source code from the Site without explicit prior written authorization from Rikton.
8. Third-Party Links and Resources
The Site may contain links, references, or API integrations to third-party portals, municipal databases, mapping tools, or partner websites. The Company does not endorse, guarantee, or assume responsibility for the content, privacy policies, or practices of any third-party resources. Accessing them is at your own risk.
9. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF REAL ESTATE DATA, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL OPERATE UNINTERRUPTED, SECURELY, OR ERROR-FREE.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RIKTON LLC, MANHATTAN PROPERTIES, AND THEIR MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR REAL ESTATE INVESTMENT LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR RELIANCE UPON THE SITE, SERVICE, OR SITE CONTENT.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS OR FROM YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00 USD).
11. Indemnification
You agree to defend, indemnify, and hold harmless Rikton LLC, Manhattan Properties, and their respective directors, officers, employees, contractors, and agents from and against any third-party claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
- Your violation of these Terms or applicable law;
- Your submission of inaccurate, misleading, or unauthorized contact information; or
- Your reliance on Site content in executing any real estate acquisition, lease, disposition, or financial transaction.
12. Governing Law, Dispute Resolution & Class Action Waiver
Governing Law: These Terms and any dispute arising out of or related to the Site or Service shall be governed by and construed in accordance with the laws of the State of New York, without giving effect to any conflict-of-law principles.
Exclusive Venue: Any legal suit, action, or proceeding arising out of these Terms shall be instituted exclusively in the state or federal courts located in New York County (Manhattan), New York, and you irrevocably submit to the personal jurisdiction of such courts.
Class Action Waiver: YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
13. Modifications
We reserve the right to revise or modify these Terms at any time in our sole discretion. The “Last Updated” date at the top of this document indicates when changes were last made. Your continued use of the Site or Service following the posting of updated Terms constitutes your binding agreement to the changes.
